**Terms of Use and Privacy Policy**

This Service Agreement ("Agreement") is entered into by and between you ("User" or "you") and Ingenix, Inc ("Company," "we," "us," or "our"). This Agreement governs your use of the First Entry software platform ("Platform") and related services, as well as your interaction with our Privacy Policy. By accessing or using the Platform, you agree to comply with and be bound by the terms outlined in this Agreement. If you do not agree to these terms, please do not use the Platform.

**1. Acceptance of Terms**

These Terms of Use ("Terms") constitute a legal agreement between you and the Company regarding your use of the Platform. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Platform.

**2. User Accounts**

2.1 **Account Creation:** In order to access certain features of the Platform, you must create a user account. You agree to provide accurate, complete, and up-to-date information during the account registration process, and you agree to maintain the accuracy of this information throughout your usage of the Platform.

2.2 **Security and Unauthorized Use:** You are responsible for maintaining the security of your account credentials. If you suspect any unauthorized use or breach of security, you must notify us immediately.

**3. Use of Platform**

3.1 **Lawful Use:** You agree to use the Platform only for lawful purposes and in accordance with these Terms, as well as all applicable laws and regulations.

3.2 **Prohibited Activities:** You must not use the Platform for any unauthorized or illegal purpose. Specifically, you must not upload, post, transmit, or distribute harmful, abusive, defamatory, obscene, or infringing content. You must not attempt unauthorized access to the Platform, its servers, or networks. You must not interfere with or disrupt the integrity or performance of the Platform. Additionally, you must not use automated means to access the Platform without explicit authorization.

**4. Intellectual Property Rights**

4.1 **Ownership and Protection:** The Platform, including its content such as software, text, graphics, images, videos, and trademarks, is owned by or licensed to the Company and is protected by intellectual property laws.

4.2 **Limited License:** The Company grants you a limited, non-exclusive, non-transferable, and revocable license to use the Platform and its services for personal and non-commercial use only. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform.

4.3 **Restrictions:** You may not duplicate, reproduce, distribute, or create derivative works based on the Platform. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform or related software, except as expressly permitted by law.

**5. Privacy and Data Protection**

**6. Use of Profiled Users**

Profiled members are granted access to First Entry-hosted events not listed in your event roster. This benefit is facilitated using their First Entry pass, ensuring a smooth experience during Application-hosted events.

**7. Limitation of Liability**

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, or data resulting from your access to or use of the Platform.

**8. Termination**

8.1 **Suspension and Termination:** The Company reserves the right to suspend or terminate your access to the Platform at any time, for any reason or no reason, without notice.

8.2 **Effect of Termination:** Upon termination, your license to access and use the Platform will cease, and you must discontinue all use of the Platform.

**9. Governing Law and Dispute Resolution**

These Terms shall be governed by and construed in accordance with the laws of Wyoming. Any disputes arising from these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Wyoming.

**10. Changes to Terms**

10.1 **Modifications:** The Company reserves the right to modify these Terms at any time. Changes will be effective upon posting on the Platform or sending you notice. Your continued use of the Platform after changes constitute your acceptance of the modified Terms.

**12. Modification, Suspension, and Termination**

We reserve the right to modify, suspend, or terminate this web app or the services at any time, without notice or liability. Furthermore, we retain the right to change these terms of service at any time by posting the updated version on this web app. Your continued use of this web app or the Services after such changes signifies your acceptance of the new terms of service.

**13. No Guarantees or Warranties**

We do not guarantee that this web app or the services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, reliability, or timeliness of any information, content, or material provided by this web app or the services. **15. Entire Agreement**

This Agreement, along with the Privacy Policy, constitutes the entire agreement between you and Ingenix, Inc regarding your use of the Platform and supersedes any prior agreements, communications, or representations, whether oral or written, relating to the subject matter of this Agreement.

**16. Severability**

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Agreement will remain in full force and effect.

**17. Waiver**

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights. Any waiver of any provision of this Agreement will be effective only if in writing and signed by a duly authorized representative of the Company.

**19. Payment of Services**

In consideration of the use of the Platform and related services provided by the Company, you agree to pay any applicable fees as specified by the Company. Payment terms, methods, and amounts will be outlined in a separate payment agreement or section, which may be provided to you during the registration or subscription process. Failure to make timely payments may result in the suspension or termination of your access to the Platform and its services. By using the Platform and agreeing to these Terms, you acknowledge your responsibility for any applicable fees and charges associated with the use of the services.
